Organizational Charter

Name: Covington Theological Seminary Alumni Association

Membership: The Covington Theological Seminary Alumni Association, here after referred to as the Association, shall have two classes of membership, Regular Members and Honorary Members. Eligibility for these classes of membership shall be as set forth below:

Regular Members: To be eligible for a Regular Membership in the Association, a person must have attended or be currently attending Covington Theological Seminary, here after referred to as the Seminary, must be a graduate of the Seminary, or must be the spouse of a person qualified as a Regular Member.

Honorary Members: To be eligible for an Honorary Membership in the Association, a person must serve on the Board of Trustees of the Seminary, must be a member of the Administration of the Seminary, must be a member of the Faculty of the Seminary, must have received an Honorary Degree from the Seminary, or must be the spouse of a person qualified as an Honorary Member.

Purpose: It shall be the purpose of the Association to develop a unified coalition of Seminary alumni for the purpose of networking with regard to ministerial opportunities and experience in different types of ministries. The Association shall also promote the growth and development of the Seminary and assist in underwriting its missionary outreaches in terms of personnel and monetary support. This purpose shall be accomplished by, but not limited to, such activities as described below:

The Association shall sponsor at various times and in various locations, recruiting activities to promote the enrollment at the Seminary of students preparing for Christian ministry of various types.

The Association shall support the Seminary's home and foreign mission outreach through the direct personal participation of it members or by its members encouraging their home churches to become involved in furnishing personnel, finances, and what ever other resources might be needed to support these outreaches. 
 
The Association shall support Bible Conferences, Mission Conferences, and Leadership Workshops conducted by the Seminary, through personal attendance of its members, by encouraging people other than members to attend, and by personal participation of its members in these activities.

The Association shall from time to time undertake drives to financially support the Seminary's special projects and missionary outreaches.

The Association shall organize social activities for its members to promote the unification of its members and provide opportunities for networking and information exchange. These social activities shall include but not be limited to an annual graduation alumni luncheon and at least one other alumni social activity each year to encourage fellowship and unity among the alumni from their many varied domiciles around the world.

Doctrinal Statement: The doctrinal statement of the Association shall be the same as the Statement of Faith published by Covington Theological Seminary.

Business Meetings: There shall be at least one Association business meeting held annually following the graduation alumni luncheon. Only those qualified as members of the Association will have voting privileges and no quorum shall be required to transact Association business. Special business meetings may be called by the President of the Association when deemed necessary by providing sixty days advance notice of such meeting through the Covington Theological Seminary Informer and on the Association's web page when it has been completed.

Officers: There shall be elected by simple majority vote at its regular annual business meeting on odd numbered years, a slate of four officers whose term shall run for two years. A slate of nominees for each of the Association offices shall be prepared through the joint effort of the Seminary's Alumni Liaison and Faculty Advisor. This slate of nominees shall be presented to the Association Secretary not later than one week prior to the annual business meeting on the year elections are to be held. Other nominations may be submitted by mail to the Alumni Liaison at the Seminary business address or by e-mail at info.covingtonseminary.org. Such mail in nominations must be received by the Seminary business office not later than seven days prior to the business meeting at which election of officers will be held and shall be forwarded to the Association Secretary as soon after they are received as practical. Floor nominations may be made at the annual business meeting during the election process. The offices to be filled and a brief description of the duties of each office shall be as follows:

President: The President of the Association shall chair all business meetings, provide leadership in keeping the Association active in fulfilling its purpose for existing, delegate responsibilities to the other officers of the association to assist in fulfilling the purpose of the Associations existence, call special business meetings when necessary, and maintain close contact with the Seminary's Alumni Liaison. The President shall approve with the First Vice President, the expenditure of funds in the Association account to be arranged by the Alumni Advisor.

First Vice President: The First Vice President shall be acquainted with the duties of the President and be prepared to assume the duties of the President in his or her absence or should the office of President become vacant. The First Vice President shall approve with the President, the expenditure of funds in the Association account to be arranged by the Alumni Advisor. In the event the First Vice President is acting as temporary President, the First Vice President shall approve with the Second Vice President, the expenditure of funds in the Association account to be arranged by the Alumni Advisor. The First Vice President shall assist the President of the Association in all Association endeavors as requested.

Second Vice President: The Second Vice President shall minister to the needs of the Seminary's Alumni, Faculty, and Staff by sending cards or e-mails expressing the Associations concern with respect to sickness, death, or other major crisis in the immediate family of these individuals. The Second Vice President shall also place the families of the individuals in crisis at the feet of our Lord and Savior, Jesus Christ, through remembrance in prayer. If there are special situations with respect to these concerns, the Second Vice President shall send the President of the Association notice of these special situations and suggested ways in which the Association as a whole might minister to these needs. At any time the First Vice President is temporarily serving in the capacity of President, the Second Vice President shall approve with the First Vice President, the expenditure of funds in the Association account to be arranged by the Alumni Advisor.

Secretary: The Secretary shall take minutes at all official business meetings, prepare such minutes in a formal typed format and see that a copy of such minutes is provided to all alumni officers, the President of Covington Theological Seminary, and the Covington Theological Seminary Alumni Liaison. The Secretary shall also maintain a permanent record of such minutes for future review. The Secretary shall also maintain with the permanent record of Association minutes, the original copy of the Association charter.

Covington Theological Seminary Alumni Officials: The offices of Alumni Liaison and Faculty Advisor shall be filled by the Seminary through what ever means and for what ever term the Seminary shall deem appropriate. These offices shall be for the purpose of providing advice to and working closely with the Association officers in the furtherance of Association goals and purposes.

The Alumni Liaison will be asked to arrange for an account to be set up in the Seminary's books for the purpose of keeping track of all gifts, pledges, or other contributions sent in to the Association for the purpose of carrying out its activities and for keeping track of expenditures of such funds by the Association.

Any expenditure that the Association hopes to have paid by the Seminary's funds must be explained in writing to the Alumni Liaison by the Association President and such expenditure shall not be obligated by the Association until the Association President receives approval of such expenditure in writing from the Alumni Liaison. This procedure shall not apply to the expenditure of funds in the Association's account which shall be requested from the Alumni Liaison and approved by the Association President and First Vice President or by the First Vice President and the Second Vice President when the First Vice President is serving as temporary President.

Alumni Christian Ministry Award: The Association shall annually select a Regular Member of the Association that has distinguished himself or herself through faithful ministry to our Lord and Savior, Jesus Christ, and is making an impact for the Kingdom of God. Alumni may be nominated by Regular or Honorary Members of the Association, but the final selection shall be made by a simple majority vote of the Association officers. All nominations for the Alumni Christian Ministry Award must be received by the Seminary's business office at least thirty days prior to graduation and must be forwarded to the Association President as soon after they are received as practical. The Association President will then see to the selection of the award recipient by the Association officers. The selected individual shall be honored by being presented an award at the annual graduation luncheon.
